01. Agreement & Acceptance
These Terms & Conditions constitute a legally binding agreement between StratDigi Pros ("the Company", "we", "our", or "us") and the entity or individual engaging our digital solutions, consulting services, or visiting stratdigipros.com ("Client", "you").
By accessing our platforms, signing an agency master services agreement (MSA), approving a statement of work (SOW), or paying an onboarding invoice, you confirm that you have read, understood, and agreed to be bound by these Terms in full.
02. Services & Project Scope
StratDigi Pros delivers advanced digital growth and technology fulfillment across search engine optimization (SEO), paid advertising management (Google, Meta, LinkedIn), custom web applications, autonomous AI agents, and white-label agency execution.

Statements of Work (SOW): Specific deliverables, project milestones, performance metrics, and timelines are codified in individual SOW documents agreed between both parties.

Scope Modifications: Any expansions or substantial revisions requested outside original specifications will be quoted as addenda or change orders.
03. Client Obligations & Content
To ensure predictable campaign timelines and optimal software deployment, the Client agrees to:
Provide timely administrative or API access to hosting, CMS, Google Analytics, Search Console, and ad accounts required for service delivery.
Ensure all brand imagery, copy, logos, trademarks, and media provided do not infringe third-party intellectual property or violate applicable laws.
04. Invoicing, Fees & Payments
Professional service fees are billed according to the agreed pricing schedule (monthly retainer, milestone deliverables, or hourly rates). Invoices are issued electronically and are payable within the net terms specified (standard 14 days unless stated otherwise).
- Ad Spend Disclaimers: Direct ad budgets (Google Ads, Meta Ads) are billed directly by the respective platforms to the Client's credit card and are independent of agency service management fees.
- Late Payments: Unpaid balances exceeding agreed credit periods may incur interest under statutory UK late payment commercial legislation.
05. Intellectual Property Rights
Custom Deliverables: Upon full and final settlement of all applicable invoices, all bespoke design assets, custom code written specifically for the Client, copy, and graphical assets transfer unconditionally to the Client.
Proprietary Infrastructure: StratDigi Pros retains full ownership and intellectual rights over its pre-existing proprietary code, internal automation libraries, AI model architectures, and custom development boilerplate frameworks.

We execute all services with reasonable skill and care in accordance with best industry practices. However, because search engines (such as Google) and advertising platforms frequently alter ranking algorithms, policies, and auction dynamics:
07. Limitation of Liability
To the maximum extent permitted under applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
Our total cumulative aggregate liability arising under or in connection with any statement of work shall not exceed the total fees actually paid by the Client to us during the three (3) months preceding the incident giving rise to liability.
08. Governing Law & Jurisdiction
These Terms, their subject matter, and formation are governed by and construed in accordance with the laws of England and Wales. Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
